1. Using DriveForma

These Terms of Service govern the websites and the drive. application operated by DriveForma Inc., a company based in British Columbia, Canada. We refer to these together as the “Services,” and to DriveForma Inc. as “DriveForma,” “we,” “us” or “our.” Our primary website is driveforma.ai. These Terms also cover related domains we operate that direct to the same Services.

When you accept these Terms, create an account under them or enter an order that incorporates them, you agree to this agreement. “You” means you personally and, where you are authorized to act for a business, that business. Do not use an account if you do not agree or lack that authority.

A separately signed service agreement, order form or data-processing agreement controls if it expressly conflicts with these Terms on the same subject. Our Privacy Policy explains how personal information is handled; accepting these Terms does not replace any separate consent required by law.

2. What the service provides

DriveForma provides a business workspace for automotive sales activities, which may include inventory research, vehicle marketing, customer presentation, customer records, follow-ups, AI-assisted drafting and team administration. Available features depend on your account, agreed plan, configuration and supported connections.

DriveForma provides software. Vehicle sales, financing, inspections, warranties and representations made to a customer remain transactions between the relevant dealership, customer and other providers. A tool, estimate or draft in the Services is not a vehicle offer, financing approval, appraisal, professional opinion or guarantee of a sales result.

Demonstration screens and interactive marketing examples use illustrative information. They do not establish the features, prices, integrations or service levels included in a particular subscription.

3. Accounts and dealership access

Account users must be adults who can enter a binding agreement where they live and must be authorized to perform their work. Provide accurate registration information, keep credentials private and notify info@driveforma.ai promptly if an account may be compromised.

A dealership is responsible for authorizing its staff, assigning account roles and removing access when appropriate. Workspace leaders may be able to view team activity, manage staff accounts and access information made available to their role. Do not assume work entered in a dealership-managed account is private from that dealership.

You are responsible for activity you authorize and for reasonable steps to prevent misuse. Do not share an individual login to bypass account limits or give another organization access without permission.

4. Your records and content

You and the relevant rights holders keep their rights in the records, photos, messages and other material submitted to the Services (“Your Content”). Personal information remains subject to individuals’ rights and applicable privacy law.

You give DriveForma the limited permissions needed to host, copy, process, transmit and display Your Content to provide, secure and support the Services, follow your authorized instructions and meet legal obligations. This includes using service providers for those purposes. This permission is not a transfer of ownership or a general licence to publish confidential dealership records.

You must have the rights and lawful authority needed to collect, upload, use and disclose Your Content, including customer information and material sent to an AI or connected service. Give required notices, obtain appropriate consent and keep records of permissions. Upload only information reasonably needed for your work; do not submit passwords, payment-card details, government identity documents or other highly sensitive information unless a feature is expressly designed and agreed for that purpose.

5. AI assistance and human review

AI features may send your instructions and relevant selected record or vehicle context to an external AI provider. The AI section of our Privacy Policy explains the types of information involved. Use these features only when you are authorized to share the input.

AI output can be incomplete, inaccurate, biased or similar to other users’ output. Review it before using, sending or publishing it. Check vehicle specifications, history, availability, prices, calculations, customer details, translations and any statement with legal or commercial consequences against reliable source information.

AI assistance does not make decisions for you or replace legal, financial, credit, employment or other professional judgment. You remain responsible for the final content and the action you choose. Any rights in output are subject to applicable law and third-party rights; we do not guarantee that output is unique or protected by copyright.

6. Customer communications

You must use customer information and messaging tools lawfully. This includes applicable privacy, advertising, telemarketing and anti-spam requirements, such as Canada’s Anti-Spam Legislation where it applies.

Before sending a commercial message, establish the required consent or a valid legal exception, identify the sender as required and provide and honour applicable unsubscribe options. An existing customer record or a business email address does not by itself establish permission for every message.

Some tools prepare a draft or open your device’s email or text application. A prepared draft, task, status or activity entry does not necessarily prove that a message was sent, delivered, read or legally permitted. Review the recipient, content and sending channel. Your obligations do not remove any obligations DriveForma itself has under applicable law.

7. Acceptable use

You may use the Services for authorized, lawful business purposes. You must not:

  • Access another person’s account, dealership or records without authority, or attempt to defeat access controls.
  • Upload malware, disrupt the Services, probe for vulnerabilities without written permission or impose unreasonable automated traffic.
  • Use the Services for fraud, impersonation, unlawful discrimination, harassment, spam or deceptive vehicle advertising.
  • Copy, resell, reverse engineer or use the Services to build a competing service except where a law expressly permits an activity despite this restriction.
  • Infringe privacy, confidentiality, intellectual-property or other rights, or misrepresent the source of third-party information.

Report suspected security issues privately to info@driveforma.ai without accessing or disclosing other people’s information.

8. Inventory and connected services

Information from inventory feeds, vehicle-history providers, dealership systems and other third parties can change or contain errors. Check important facts with the originating source. DriveForma does not certify a vehicle’s condition, ownership, accident history, price or availability.

Connecting a third-party account authorizes the access and processing described in that connection’s setup and permissions. You must be entitled to connect it. Third-party terms, fees and availability also apply. Connections may stop working if access is revoked or a provider changes its service.

Disconnecting a provider can stop future access without erasing information already recorded in your workspace or retained by that provider. Public links and content you choose to share may be available to their recipients; check their contents before sharing.

9. Fees and subscriptions

If you purchase a paid service, its price, currency, billing period, taxes, renewal, cancellation and refund conditions must be set out in the order, checkout or separate agreement you accept. These Terms do not create a paid subscription merely because you visit the website or request a walkthrough.

Pay amounts properly due under that agreement. Any renewal, fee change or additional purchase is subject to the agreement, required notice and applicable law. A future change to these Terms does not itself authorize a new charge. Contact us about a billing concern or cancellation at info@driveforma.ai.

10. DriveForma materials

DriveForma and its licensors retain their rights in the Services, software, design, branding and documentation, apart from Your Content and third-party materials. We grant you a limited, non-exclusive, non-transferable right to use the Services within your authorization and agreement.

You may suggest improvements voluntarily. We may use general feedback to improve the Services, but submitting feedback does not give us ownership of confidential customer records or permission to disclose personal information. Third-party brands belong to their owners; their appearance does not imply endorsement.

11. Suspension and ending access

You may stop using the Services and request account closure, subject to an applicable service agreement. We may restrict or suspend access where reasonably necessary to address a security threat, unlawful activity, a material breach, non-payment under an agreed order or a legal requirement. Where practical and lawful, we will explain the issue and provide a reasonable opportunity to resolve it.

If an account or service ends, its access rights end. Contact us before closure if you need an export or a transition arrangement; available export methods and any agreed transition period depend on the Services and your agreement. Retention and deletion are described in the Privacy Policy. Deactivating a staff account is not the same as deleting the dealership’s records.

Terms that by their nature need to continue, including payment obligations already incurred, ownership, confidentiality-related permissions, lawful retention, liability limits and dispute provisions, continue as applicable after termination.

12. Availability and warranties

We may maintain, update or change the Services. Unless separately agreed in writing, no particular uptime, response time, integration, support level or outcome is promised. We will provide reasonable notice where a material change requires notice by law or agreement.

To the extent permitted by law and except for express written commitments, the Services are provided on an “as is” and “as available” basis. We do not warrant uninterrupted or error-free operation, the accuracy of third-party or AI content, or fitness for a particular purpose. This does not exclude a warranty, duty or remedy that the law does not allow us to exclude.

13. Liability and business claims

To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, lost profits, lost business opportunities or loss arising from the other party’s unauthorized use of the Services.

Subject to liabilities that cannot legally be limited and any different limit in a signed agreement, DriveForma’s total liability arising from the Services or these Terms is limited to the greater of CAD $100 and the fees you paid DriveForma for the affected Services during the 12 months before the event giving rise to the claim. These exclusions and limits apply regardless of the legal basis of the claim.

If you act for a business, that business is responsible for reasonable third-party claims and costs arising from its unlawful use of customer information, infringement through Your Content or material misuse of the Services. This does not apply to the extent a claim is caused by DriveForma’s own breach, negligence or misconduct. We will give prompt notice of such a claim and reasonable cooperation; neither party may agree a settlement that binds the other without consent.

Nothing in these Terms excludes fraud, limits a liability that cannot lawfully be limited or takes away a non-waivable consumer or statutory right.

14. Law, changes and notices

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, subject to any mandatory law that applies to you. Disputes may be brought before a competent court or tribunal in British Columbia where lawful. This does not prevent you from using a regulator, tribunal or court available to you under a non-waivable right. These Terms do not impose compulsory arbitration or a class-action waiver.

We may update these Terms and will show the new date here. Material changes will be communicated in a way appropriate to the change, such as a notice in the Services or to the account contact. Where fresh agreement or consent is legally required, we will seek it. Changes are not retroactive unless the law permits and the parties validly agree.

If a provision is unenforceable, the rest remains effective to the extent it can operate lawfully. A delay in enforcing a right is not a waiver. Any assignment must respect your agreement, confidentiality obligations and applicable law.
